Materials Transfer Agreement (MTA)
A Material Transfer Agreement (MTA) is a document that is used by scientists and their institutions to transfer materials to other scientists and institutions. MTAs provided by outside organizations may contain clauses that are not consistent with the University of Utah policies and procedures and/or federal law. Signing one of these agreements could severely impede a scientist's ability to carry out his or her research or to publish in a timely fashion. It is important that all MTAs are evaluated and signed by an authorized TCO representative. Please send your MTA, and any accompanying contact information, to Eric Paulsen, epaulsen@tco.utah.edu, for review and signature.
If you are planning to send materials to a collaborator, please complete the appropriate questionnaire below. TCO will then prepare the appropriate MTA and send it to your collaborator. You will be copied on all correspondence, unless you notify us that you do not wish to be copied, and notified when the agreement has been completed. Please note that if you are planning to send materials to a company or other for-profit entity, TCO will need to prepare a tangible property agreement instead of an MTA for that transfer. Please contact TCO for more information.
Please note also that Clinical trial protocol evaluation CDA's are now being processed and signed by OSP. Please contact Brent Brown.
For Human or Human derived materials or data:
For all other materials or data:

- Howard Hughes Medical Institute (HHMI) MTA (for current HHMI investigators only)
- Uniform Biological Material Transfer Agreement (UBMTA) (The University of Utah is a signatory to the UBMTA)

Confidential Disclosure Agreements (CDA)
A CDA is an agreement between the university and an outside entity (company or person) to facilitate discussions of confidential information. For companies, sharing of their business needs and development problems can lead toward developing solutions with university personnel, but the company would not want such confidential information revealed to their competitors. For universities, maintaining confidentiality can preserve rights (domestic and foreign) to inventions.
Term Sheets
Term sheets are a starting point in negotiating a contract for either a licensing agreement or a sponsored research agreement. If you are interested in a technology or sponsoring research please contact the TCO office at (801) 581-7792.
